Large taxpayers — businesses with annual turnover above ₦5 billion — were the first group required to comply with Nigeria’s e-invoicing mandate, with a deadline of November 1, 2025. That deadline has passed, and the mandate has since extended to every VAT-registered business in the country as of January 1, 2026.

Who Counts as a “Large Taxpayer”?

The classification is based on annual turnover: businesses above ₦5 billion are treated as large taxpayers under the e-invoicing mandate. This group was deliberately targeted first, on the reasoning that large taxpayers already have the resources and ERP infrastructure to absorb the technical requirements — IRN generation, real-time validation, digital signatures, and Peppol transmission.

What Changed on November 1, 2025

From that date, large taxpayers became subject to the full e-invoicing penalty framework: a ₦200,000 base penalty for processing transactions outside the fiscalization system, 100% of tax due plus CBN MPR interest, ₦50,000/day for late B2C reporting, and rejection of VAT input claims on non-compliant invoices. At enterprise transaction volumes, these penalties compound quickly — a handful of non-compliant invoices can produce a six- or seven-figure exposure in a single month.

Enterprise Requirements Beyond the Basics

Every business, regardless of size, needs the same core compliance layer: valid TIN and VAT registration, IRN generation, schema validation, and transmission through a certified Access Point Provider. Large taxpayers typically need more on top of that:
